[Gasification] ***SPAM*** Proton Power & Abundia Merger

Hello,

A merger agreement has been signed to merge Proton Power Inc. with Abundia
Global Impact Group (https://www.abundiaimpact.com/ ) taking the merged
entity *Public *using a SPAC as the mechanism.



The execution of this merger agreement represents the most significant step
in this process – which further means that the culmination of the process
in a public company is highly probable.  While highly probable, the
successful outcome is not a complete certainty, and there are still
approximately four months of work to do to make this a done deal.



This is a major positive step for Proton Power, our Reps, Shareholders and
Customers!  Here’s why:


1.      Once the merger is complete, there will actually be significant
funds available to expand the PPI business.  In addition to enhanced
Financial Stability, we will be stepping up our marketing presence,
improving our website, supporting R&D efforts in Systems, Biochar and
Graphene areas.  A demo/R&D system will be built that will be controlled by
Abundia so that we can support our R&D needs, test customers’ feedstocks,
and have a Showcase system that we can demonstrate for customers.

2.      Our merger partner brings technology that will enable Abundia to
offer systems that produce jet fuel, in addition to the diesel and
electricity offerings that we have currently.

3.      Another bonus is that our merger partner brings technology that can
double the yield of hydrogen produced from the syngas from our CHyP units,
so very soon we will have a viable offering to introduce to serve the
growing hydrogen market.

4.      It should not be understated that PPI’s graphene products and
processes are a hugely attractive part of this deal, so you will see major
developments in this area as well.



All of these are important synergies brought about with the merger, and we
are excited about the possibilities for PPI going forward.  It has always
been the vision at PPI that we needed an acquisition or merger partner that
would bring the financial clout to take our technology to the world, and
that’s what will happen with this merger – plus the additional benefits
described above.
